RESELLER POLICY – THATSAPI(Messaging Solutions) Last Updated: 17-12-2025 This Reseller Policy (“Policy”) outlines the terms and responsibilities for individuals and businesses (“Reseller”, “You”, “Your”) who resell THATSAPI’s WhatsApp automation, API, and messaging services to their own clients. By becoming or acting as a Reseller, you agree to follow this Policy, THATSAPI Terms & Conditions, Meta WhatsApp Business API Policies, and applicable Indian laws. --------------------------------------------------------------------- 1. PURPOSE OF THIS POLICY This Policy ensures: • Responsible and compliant resale of THATSAPI services • Protection against fraud, misuse, and policy violations • Clear guidelines for onboarding and managing clients • Compliance with Meta and Indian regulations • Safe, lawful, and transparent business conduct --------------------------------------------------------------------- 2. WHO CAN BECOME A RESELLER To qualify as a Reseller, you must: • Be a registered business or authorized individual • Complete THATSAPI KYC verification • Operate in a lawful industry • Agree to compliance monitoring • Follow Meta-approved business categories THATSAPI reserves the right to approve, deny, or revoke reseller access at any time. --------------------------------------------------------------------- 3. RESELLER RIGHTS & ALLOWED ACTIVITIES Authorized Resellers may: • Sell THATSAPI services to their clients • Set their own pricing, packages, and margins • Manage client onboarding and support • Create sub-accounts under their reseller panel • Offer automation, campaign, and marketing services • Use whitelabel tools (if approved separately) Resellers act as independent business entities, not agents or employees of THATSAPI. --------------------------------------------------------------------- 4. PROHIBITED ACTIVITIES (STRICT) Resellers are strictly prohibited from: A. Misrepresentation • Claiming to be WhatsApp, Meta, or an official Meta Partner • Providing false information about features or capabilities • Selling services under fake or fraudulent identities B. Illegal or High-Risk Sectors • Loan scams, job scams, investment fraud • Cryptocurrency trading or mining promotions • MLM, pyramid schemes, chain marketing • Gambling, betting, lottery marketing • Adult or explicit content • Hate speech, political or extremist communications C. Data Violations • Selling or sharing customer databases • Uploading purchased or scraped numbers • Sending unsolicited bulk messages D. Technical Misuse • System manipulation or hacking attempts • Sharing login/API keys with unauthorized parties • Allowing unknown users to access the platform • Bypassing template approval or opt-in rules Violations will result in immediate account suspension without refund. --------------------------------------------------------------------- 5. RESPONSIBILITIES OF RESELLERS Resellers MUST: • Validate client identity and business legitimacy • Onboard clients responsibly and lawfully • Ensure clients follow opt-in, opt-out, and template rules • Educate clients on Meta and THATSAPI policies • Provide first-level support to their clients • Monitor client activities for violations • Report suspicious activity to THATSAPI immediately Resellers are fully responsible for the actions of their clients. --------------------------------------------------------------------- 6. PRICING, BILLING & PAYMENTS • Resellers may set their own retail pricing. • THATSAPI bills resellers directly for usage, credits, and subscriptions. • Resellers are responsible for collecting payments from their clients. • Any payment default by clients is the reseller’s liability, not THATSAPI’s. • Chargebacks will lead to immediate suspension or termination. No refunds will be issued for reseller or client violations. --------------------------------------------------------------------- 7. META WHATSAPP API COMPLIANCE Resellers must ensure that their clients follow: • WhatsApp Business Policy • WhatsApp Commerce Policy • WhatsApp Messaging Rules • Template Approval Guidelines • User consent rules Meta may restrict or ban numbers for violations. THATSAPI is not responsible for Meta enforcement actions against reseller clients. --------------------------------------------------------------------- 8. CLIENT DATA PROTECTION Resellers must ensure: • All client data is lawfully collected and consent-based • No sharing or selling of client data • Adherence to DPDP Act 2023 and IT Act 2000 • Proper security of customer contact lists • Immediate reporting of data breaches Resellers are liable for their own and their clients’ data practices. --------------------------------------------------------------------- 9. SUB-ACCOUNT MANAGEMENT RULES Resellers must: • Monitor all sub-accounts regularly • Remove or report clients who violate policies • Keep accurate billing, usage, and communication records • Not allow unexplained or unverified users to access the platform THATSAPI reserves the right to suspend individual sub-accounts when violations occur. --------------------------------------------------------------------- 10. ENFORCEMENT & VIOLATIONS THATSAPI may take enforcement actions for violations including: • Warning • Restrictions on reseller panel • Suspension of sub-accounts • Temporary or permanent ban • Revocation of whitelabel privileges • Reporting to Meta and legal authorities Severe violations may lead to lifetime blacklisting. --------------------------------------------------------------------- 11. LIABILITY LIMITATIONS THATSAPI is NOT responsible for: • Partner-created content • Illegal activity by clients • WhatsApp number bans or restrictions • Loss of reseller revenue or business opportunities • Messages sent by reseller or clients • Chargebacks initiated by clients All liability lies with the reseller. --------------------------------------------------------------------- 12. TERMINATION OF RESELLER ACCESS Reseller access may be terminated for: • Repeated violations • Illegal or fraudulent activity • Misuse of platform features • Chargeback abuse • Hosting non-compliant or high-risk clients • Failure to follow Meta or THATSAPI policies No refunds will be issued for terminated reseller accounts. --------------------------------------------------------------------- 13. POLICY UPDATES THATSAPI may update this Reseller Policy at any time. Updates will be posted with a new “Last Updated” date.
