PARTNER AGREEMENT – THATSAPI(Messaging Solutions)

This Partner Agreement (“Agreement”) is a legally binding document between THATSAPI(Messaging Solutions) (“Company”, “We”, “Us”, “Our”) and the approved partner (“Partner”, “You”, “Your”).
By joining the THATSAPI Partner Program, you agree to comply with this Agreement, all THATSAPI Policies, Meta WhatsApp Business API rules, and applicable Indian laws.

1. PURPOSE OF THIS AGREEMENT
This Agreement outlines:
• Terms of partnership between THATSAPI and the Partner
• Rights and responsibilities of each party
• Conditions for resale, promotion, and distribution of services
• Compliance requirements for Meta WhatsApp Business API
• Guidelines to ensure legal, secure, and ethical operations

2. DEFINITIONS
• “Partner” – An individual or business authorized to promote or resell THATSAPI services.
• “End-User/Client” – A customer acquired by the Partner.
• “Services” – WhatsApp Business API, automation tools, messaging features, dashboards, and related solutions provided by THATSAPI.
• “Whitelabel” – Branding and UI customization made available to approved partners.

3. PARTNER ELIGIBILITY
To become a Partner, you must:
• Complete full KYC verification
• Operate a lawful and verified business
• Agree to all THATSAPI policies (AUP, Messaging Policy, Spam Policy, Data Policy, etc.)
• Not belong to prohibited/high-risk industries
• Maintain compliance with Meta rules
THATSAPI reserves the right to approve, deny, or terminate partnerships at any time.

4. SCOPE OF PARTNER ACTIVITIES
The Partner may:
• Promote THATSAPI services
• Sell THATSAPI services to their clients
• Manage sub-accounts and whitelabel portals
• Set independent pricing and billing models
• Offer technical, marketing, and automation services
Partners operate independently; they are NOT THATSAPI employees or legal representatives.

5. PROHIBITED ACTIVITIES (STRICT)
Partners are strictly prohibited from:
A. Misrepresentation
• Claiming to be WhatsApp, Meta, or an official Meta Partner
• Making false promises to clients about service capabilities
• Misusing THATSAPI branding without approval
B. Illegal, Fraudulent, or High-Risk Activities
• Loan scams, job fraud, financial scams
• Cryptocurrency promotions
• MLM, pyramid schemes
• Gambling, betting, lottery promotions
• Adult, sexual, or explicit content
• Political or religious broadcasts
• Hate speech or unlawful content
C. Data & Messaging Violations
• Uploading purchased/scraped databases
• Sending messages without opt-in consent
• Violating WhatsApp template or content rules
• Allowing clients to engage in spam or illegal messaging
Any violation will result in immediate termination.

6. PARTNER RESPONSIBILITIES
The Partner must:
• Validate client identity and business legitimacy
• Ensure clients follow Meta WhatsApp API rules
• Maintain proof of client opt-in consent
• Educate clients on compliance and responsible messaging
• Monitor client activity and prevent violations
• Provide primary support to their clients
• Protect login credentials, API keys, and data
• Report suspicious activity immediately to THATSAPI
Partners are responsible for their own and their clients’ actions.

7. THATSAPI RESPONSIBILITIES
THATSAPI will:
• Provide platform access and technical infrastructure
• Maintain system security, uptime, and performance
• Offer partner support during business hours
• Provide documentation, updates, and training resources
• Enforce compliance and take action against violations
THATSAPI is NOT responsible for partner sales, pricing, or client relationships.

8. BRANDING & REPRESENTATION RULES
Partners may:
• Use THATSAPI-approved marketing materials
• Promote THATSAPI services under their brand
• Use whitelabel features (if approved)
Partners may NOT:
• Use WhatsApp or Meta trademarks
• Claim partnership beyond approved terms
• Mislead clients about system ownership or rights

9. PRICING, BILLING & COMMISSIONS
• Partners may set their own pricing to clients.
• THATSAPI will charge the Partner directly for usage, API costs, and subscriptions.
• Partner profits are determined by independent markup.
• Payment defaults by clients are the Partner’s responsibility.
• Chargeback abuse will result in instant termination.
No refunds will be issued for policy violations.

10. DATA PROTECTION COMPLIANCE
Partners must comply with:
• DPDP Act 2023
• IT Act 2000
• THATSAPI Privacy & Data Policies
• Meta WhatsApp Data Handling Rules
Partners must ensure:
• Customer data is consent-based
• No selling or sharing of client databases
• Proper security for uploaded contacts
Data breaches caused by partners are their full responsibility.

11. TERM & TERMINATION
This Agreement remains active until:
• Terminated by either party with notice
• Terminated immediately due to policy violations
• Suspended for non-compliance, fraud, chargebacks, or illegal activity
Upon termination:
• Partner access is revoked
• Sub-account access may be disabled
• No refunds will be provided
• Outstanding dues must be cleared immediately

12. LIABILITY LIMITATIONS
THATSAPI is NOT liable for:
• Partner or client messaging actions
• WhatsApp bans, flags, or number restrictions
• Loss of business, profits, or opportunities
• Content created by partners or clients
• Service downtime caused by Meta or external providers
All responsibility lies with the Partner.

13. INDEMNIFICATION
The Partner agrees to indemnify and protect THATSAPI from:
• Legal claims
• Losses or damages
• Penalties
• Violations committed by the Partner or their clients

14. POLICY & AGREEMENT UPDATES
THATSAPI may update this Agreement at any time.
Continued use of partner features indicates acceptance of updated terms.
